Timothy (“Tim”) Kemp is a startup lawyer who specializes in corporate transactions and counseling startup founders in matters ranging from formation and general corporate governance to venture capital financings and M&A transactions, including choice of entity, capital structuring, stock option planning, board formation/advisory, corporate compliance, SAFE/convertible note financings, subsidiary acquisitions, technology/licensing agreements, executive employment agreements, and establishing policies for protecting intellectual property.
Tim has represented startups, founders, and investors across a wide range of industries including SaaS technology (B2B and B2C), consumer media/entertainment (ranging from live music streaming and paid content creation to animated series and live-action films), FinTech/financial management (ranging from accelerator programs and investment management to blockchain and crypto), healthcare (ranging from traditional medical R&D to wellness therapy and personal hygiene), sustainable energy (ranging from solar and wind turbines to manufacturing lithium ion batteries), education services (ranging from peer-to-peer mentoring to accredited e-learning programs), hospitality/travel (ranging from hotel logistics to content creation for travel influencers), artificial intelligence (ranging from automation and data imaging to theft prevention and data security), and advanced supply chain technology (ranging from trucking logistics and resource management to the application of drones in emergent capacities).
Tim is licensed to practice law in California where he received his Juris Doctor degree and Business Law certification from the University of San Francisco School of Law supplemented by a Bachelor of Science in Justice Studies and dual degrees in Political Science and Health Professions from San Jose State University. As a 2L, Tim was selected to participate in the Advocate of the Year Competition and represented USF Law’s Moot Court program in a Sports Contract Negotiation Competition hosted in New Orleans, LA by Tulane Law.
Tim began his legal career in litigation where he gained experience working on a diverse range of legal disputes including corporate governance, intellectual property, trusts & estates, contract disputes, construction defects, and employment matters. Tim has also served as a judicial intern for Hon. William J. Monahan in the Trials Department of the Santa Clara County Superior Court. As a result, Tim is well-versed in providing impartial legal advice and finding amicable resolutions when negotiating complex corporate/commercial transactions.
In his spare time, Tim enjoys fitness, chess, movies, video games, and playing with his puppy Katana.
